Management of this non-profit organization is vested in a Board of Directors. The Board has general charge of the affairs and assets of the organization and is responsible for carrying out its mission and purpose.
It is the fiduciary duty of the Board of Directors and Officers to disclose actual or possible conflicts of interest to the Board. In connection with any actual or possible conflict of interest, an "interested person" must disclose the existence of the financial interest and shall be given the opportunity to disclose all material facts to the Board regarding the proposed transaction or arrangement.
